TERMS OF USE & CLUB CHARTER

DOMAINS & PLATFORMS: Public Website/Applications (thecoveandkin.club), Guest Checkout Services, and The Circle Member Portal (Progressive Web Application) and Associated Internet Domains (.in).

1. ACCEPTANCE OF TERMS AND BINDING AGREEMENT

This Terms of Use & Club Charter (“Terms”) constitutes a legally binding agreement between The Cove & Kin LLP (“The Club,” “We,” “Us,” or “Our”) and any individual who accesses, applies for, purchases, or uses Our website, mobile applications, member portals, or physical community experiences (“User,” “Member,” or “You”).

By accessing the public platform, submitting an application, purchasing a ticket, or authenticating into The Circle Portal, You agree to be bound by these Terms, Our Privacy Policy, Our Refund & Cancellation Policy, and Our General Attendance Policy & Event Waiver, each incorporated herein by reference. If You do not agree, You must immediately cease all use of Our platforms and services.

2. ELIGIBILITY AND INVITATION MECHANICS

2.1 Legal Capacity

You must be at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract under the Indian Contract Act, 1872. Minors are strictly prohibited from creating accounts, purchasing memberships, or transacting on the platform.

2.2 Invitation-Only Access

The Cove & Kin is an exclusive, private community. Access to membership is strictly by invitation or alignment approval.

  • Expiring Invitation Links: Vetted applicants receive a single-use, time-sensitive invitation link. Invitation links strictly expire seven (7) calendar days after issuance. Unused, expired links are automatically voided and require re-application.
  • Verification Rights: The Club reserves the absolute right to approve, reject, suspend, or revoke any alignment inquiry, application, or membership invitation at its sole discretion, without obligation to disclose underlying justifications.

3. MEMBERSHIP STRUCTURE AND HOUSEHOLD ACCOUNTS

3.1 Household Relational Model

Membership is granted at the household level and encompasses up to two (2) married or co-parenting adults (“Primary Member” and “Spouse Member”) and their dependent children under eighteen (18) years of age.

3.2 Spousal Account Spawning

Upon successful onboarding and payment capture by the Primary Member, the system automatically programmatically generates a linked account for the designated Spouse Member using the partner email provided during registration.

  • Mandatory First-Login Consent: The Spouse Member must authenticate into The Circle Portal using their credentials and explicitly accept these Terms and the Privacy Notice upon their initial login. Access to portal functionality remains blocked until this consent is captured.

3.3 Account Security and Credentials

You are strictly responsible for maintaining the confidentiality of Your login credentials. Account sharing outside Your immediate household is strictly prohibited. You accept full liability for all activities executed under Your authenticated account.

4. MEMBERSHIP DUES, PAYMENT & NON-REFUNDABILITY

4.1 Subscription Tiers

Membership is offered under non-refundable subscription tiers:

  • Annual Household Membership: Covers 365 Days of Membership for the Household.
  • Semi-Annual Household Membership: Covers 180 Days of Membership for the Household.

Pricing: We reserve the sole right to add, delete, discount or update subscription tiers with prior notice to subscribed households but without a public (non-member) announcement.

4.2 Absolute Non-Refundability

All membership dues are strictly non-refundable and non-transferable upon payment capture. No pro-rata refunds, credits, or adjustments shall be issued for early account termination, voluntary resignation, non-usage of benefits, or membership revocation due to behavioral violations.

5. CODE OF CONDUCT & SANCTUARY RULES

To preserve Our core philosophy of “Presence Over Pace,” all Members and guests must strictly adhere to the following sanctuary rules:

5.1 Physical Venue Photography & Camera Ban

Photography, videography, and digital recording of any kind are strictly prohibited at all live community experiences and physical venues. You shall not record, capture, or publish imagery of other families, children, or physical event spaces.

5.2 Commercial Non-Solicitation

The Club is a sanctuary for personal connection, not commercial networking. You shall not pitch, solicit, market, or promote commercial ventures, investments, or business services to other Members within physical events or digital member directories.

5.3 Behavior and Safety

Harassment, abusive language, physical misconduct, negligence toward child safety, or breaches of confidentiality regarding member identities shall result in immediate membership termination.

6. INTELLECTUAL PROPERTY & PROPRIETARY RIGHTS

All software, proprietary code, web applications, designs, trademarks, logos, audio-visual content, and gated Memory Cloud media displayed on or operating through Our digital platforms are the exclusive property of The Cove & Kin LLP or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access the member portal solely for personal, non-commercial household use. You shall not scrape, reverse-engineer, copy, redistribute, or exploit any digital assets or media downloaded from Our platforms.

7. EVENT BOOKINGS, REFUNDS & TRANSFERS

All event ticket bookings, age-tiered calculations, cancellations, self-service refunds, waitlist allocations, and ticket transfers are strictly governed by Our Refund, Cancellation & Ticket Transfer Policy.

Transferred tickets require the non-member/guest recipient to execute a 1-Click Check-in Waiver Acceptance incorporating Our General Attendance Policy & Event Waiver prior to dynamic entry pass generation.

8. ENFORCEMENT, TERMINATION & APPEALS PROCESS

8.1 Violation Determination

The Cove & Kin operational team at physical venues or digital administrative levels maintains sole, immediate authority to determine whether a Member or guest has violated these Terms, sanctuary rules, or safety guidelines.

8.2 Immediate Remedies

In the event of a breach, The Club reserves the right to:

  1. Immediately eject the violator and their household from the venue without refund;
  2. Suspend or permanently revoke digital account access to The Circle Portal; and/or
  3. Terminate household membership permanently without financial compensation.

8.3 Single Appeal Protocol

  • Written Submission: A Member whose account has been suspended or terminated may submit one (1) written appeal to support@thecoveandkin.club within seven (7) calendar days of the enforcement notice.
  • Final Ruling: The appeal shall be reviewed solely by the Founders of The Cove & Kin LLP. The Founders’ written decision on the appeal shall be final, binding, and non-appealable.

9. DISCLAIMERS, LIMITATION OF LIABILITY & INDEMNIFICATION

9.1 Platform “As Is”

Digital platforms, PWA applications, and portal access are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied.

9.2 Limitation of Liability

To the maximum extent permitted by applicable law, The Cove & Kin LLP, its founders, partners, officers, employees, and venue partners shall not be liable for any indirect, incidental, punitive, consequential, or special damages arising from Your use of the platform, attendance at physical events, or account termination. Our total aggregate liability for any claim shall not exceed the amount paid by You to The Club in the preceding twelve (12) months.

9.3 Indemnification

You agree to indemnify, defend, and hold harmless The Cove & Kin LLP and its representatives against all claims, liabilities, losses, damages, costs, and legal fees arising from Your breach of these Terms, misrepresentation, or failure to supervise Your minor children.

10. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute, legal action, or proceeding arising out of or relating to these Terms or Your membership shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, Maharashtra, India.
